Terms of Use
CareMate Terms of Use
Effective date: September 25, 2026
These Terms of Use govern access to https://caremate.life (the “Website”) and any CareMate application, portal or software service that expressly incorporates them. The Website is operated by Gridex Technology Inc., the developer and operator of CareMate, based in British Columbia, Canada. Gridex is referred to as “we”, “us” or “our”. “You” means the person using the applicable website or service, or an organization where its authorized representative accepts these Terms on its behalf.
CareMate supports non-clinical workflows in senior living and care environments. The rules below explain permitted use, the limits of our public information and digital services, and how these Terms relate to an approved robot deployment.
Acceptance and separate agreements
By selecting an acceptance control, or using a service after these Terms have been clearly presented as its conditions of use, you agree to these Terms. If you do not agree, do not use that service. If you accept for an organization, you must have authority to bind it.
A signed MOU, pilot agreement, order form, subscription agreement, data processing agreement or other written agreement with Gridex governs the matters it covers. That agreement prevails over inconsistent provisions of these Terms. Posting or updating these Terms does not amend an existing signed agreement, change a no-cost pilot into a paid service, or require another pilot agreement where an existing MOU already covers the activity.
Our separate Privacy Policy explains how personal information is handled. Acceptance of these Terms is not blanket consent to resident monitoring, recording, health data collection or new uses of personal information. Those activities require the applicable notices, authorizations and consents. A resident does not accept contractual obligations merely by living at, visiting or receiving care in a site where CareMate operates.
Eligibility and authorized access
Account holders must have reached the age of majority where they live and be legally able to accept these Terms, or act through a legally authorized representative where permitted. Institutional accounts are for users authorized by the relevant organization. A person may receive approved staff-assisted services without holding an account.
Provide accurate account information, keep credentials confidential and use only the access permissions assigned to you. Tell us promptly if you suspect unauthorized access. Organizations must manage staff access and remove permissions when a user changes role or leaves. Family relationships or employment alone do not authorize access to a resident’s information.
Product information and availability
Website descriptions, demonstrations, illustrations and proposed workflows explain the product and its development direction. Some features may be prototypes, optional modules or planned capabilities. Availability depends on the product version, supported equipment, site assessment, configuration and written deployment arrangements.
You may submit an inquiry or appointment request through the Website’s forms, or contact us at info@caremate.life. Appointment requests are subject to confirmation. A request for information, demonstration or pilot does not itself place an order or commit either party to a deployment. Published performance examples, time savings, availability estimates and roadmap dates are not guaranteed results or contractual commitments unless expressly included in a written agreement. We may correct inaccurate or outdated website information.
Nonclinical support and human responsibility
CareMate is intended to assist with approved non-clinical activities, such as supply delivery, reminders, remote communication and workflow information. It does not diagnose disease, select treatment, prescribe or administer medication, perform physical personal care, or replace nurses, care aides, clinicians or other professionals.
Where an approved wellness module is available, connected-device readings and summaries support recording and staff review. Qualified staff remain responsible for assisting with measurements, checking device instructions, interpreting results and deciding what action to take. Information provided through a remote session remains the responsibility of the professional providing it.
CareMate is not a primary emergency-response system. Activity, inactivity, non-response or other alerts can be incomplete, delayed or incorrect. The absence of an alert does not establish that a resident is safe. Maintain the site’s ordinary staffing, direct checks, emergency procedures and communication systems. For an emergency, contact on-site staff and local emergency services directly.
Safe use of deployed equipment
This section applies only to equipment and features you are authorized to use under an approved deployment. Follow the applicable operating instructions, training, permitted routes, loading limits and site safety procedures. Staff must approve tasks and handoff arrangements appropriate to residents and the environment.
Do not disable safety functions, change approved operating zones, modify equipment, attach unapproved accessories or attempt unapproved repairs. Do not use a robot to lift, transfer, restrain, feed or provide hands-on care to a person. Do not send it into unsafe or prohibited areas or assign tasks outside its approved configuration.
If you observe a safety, privacy or operational concern, pause the affected activity using the safe-stop procedure provided for the deployment and notify the designated site contact and Gridex. Support channels are not emergency dispatch services. These responsibilities do not remove Gridex’s obligations under law or the applicable written agreement.
Acceptable use
You must not use the website, software or an approved robot deployment to:
- Access another person’s account, resident record, live session or restricted information without authority.
- Conduct covert surveillance, record private activities without the required authorization, or use collected information to harass or discriminate against someone.
- Introduce malware, interfere with networks, bypass access controls, defeat safety protections or probe a system without authorization.
- Upload unlawful material or material that infringes another person’s privacy, confidentiality or intellectual property rights.
- Misrepresent the robot as a clinician, conceal an AI-generated output as a verified professional assessment, or make medical decisions solely from its outputs.
- Reverse engineer, copy, resell or redistribute protected software or content except where a license or applicable law permits it.
Do not send resident records, health information, access credentials or other sensitive information through the Website’s inquiry or appointment forms, ordinary business email or product inquiry messages. Use the approved channel for an authorized deployment.
Your information and feedback
You retain your rights in content and materials you provide. You must have authority to provide them and to request the relevant processing. Permission to use our services does not give you ownership of, or unrestricted authority over, another person’s personal information.
You authorize Gridex to handle submitted content only as necessary to provide the requested service, maintain its security, respond to support requests and meet applicable legal obligations, subject to the Privacy Policy and any governing written agreement. These Terms do not grant a general right to sell resident data or use identifiable resident information to train general-purpose AI models.
You may voluntarily provide non-confidential product suggestions. Gridex may use those suggestions to improve its products without an obligation to pay you. This permission does not apply to personal information, confidential facility materials or third-party intellectual property included in a submission.
Intellectual property and software permissions
Gridex and its licensors retain their rights in CareMate software, AI models, designs, documentation, branding and website content. You may view and use public materials for lawful personal or internal business evaluation and may use authorized software for the purpose and period allowed by the applicable agreement. Keep ownership and attribution notices intact.
These Terms do not transfer robot ownership or grant rights to our source code, model weights, trademarks or other protected materials. Any broader license must be agreed in writing. Third-party and open-source components remain subject to their applicable license terms, which prevail for those components where required.
AI features and outputs
Where enabled, AI may help interpret instructions, prepare summaries, organize workflows or flag information for review. AI outputs may be inaccurate, incomplete, biased or unsuitable for a particular resident or situation. An output can sound confident even when it is wrong.
Authorized staff must verify material information before acting, especially information affecting health, safety or access to care. CareMate outputs do not replace professional judgment or authorize a clinical decision. Do not provide sensitive information to an AI feature unless that data flow has been approved for the deployment and the relevant notices and consents are in place.
Third party services and connected devices
Links, external content, video services, connected measurement devices and facility-system integrations may involve independent providers. Their terms and privacy notices apply to their own services. A reference to a third party does not guarantee an integration, certification, endorsement or continuing compatibility.
Only connect services, devices and accounts approved for the deployment. Gridex remains responsible for its own conduct and for responsibilities it has assumed concerning providers acting on its behalf. We do not control an independent provider’s clinical advice, equipment readings or service availability.
Pilots and commercial arrangements
Pilot scope, fees, service levels, equipment ownership, maintenance, insurance, subscriptions, renewals, cancellation, refunds and return arrangements are governed by the relevant written agreement. No charge, automatic renewal or non-refundable deposit is created by these Terms alone.
An evaluation or pilot does not promise that every proposed feature will be delivered or that a commercial arrangement will follow. Any changes to a signed pilot or MOU must follow its amendment provisions. Facility names, resident images, testimonials and site visits for publicity require the applicable prior approvals.
Updates and access restrictions
We may maintain or update the website and digital services, address vulnerabilities, and restrict access reasonably necessary to respond to misuse, a security incident or a legal requirement. Where practical, we will explain a material restriction and provide a way to raise a concern. Immediate action may be necessary to protect people or systems.
For a deployed robot or contracted service, service changes, suspension, notice and termination remain subject to the written agreement and applicable law. This section does not authorize us to bypass agreed safety procedures, erase records we must retain, or terminate a signed MOU on different terms. Necessary equipment retrieval and data return or deletion arrangements also remain governed by that agreement and law.
Website information and warranties
Except for express commitments in a written agreement and rights that law does not allow us to exclude, public website information and free online tools are provided as available. We do not promise uninterrupted access, error-free content or suitability of that information for every use. Do not rely on public materials as operational instructions for a specific deployment.
This section does not disclaim an express product warranty, negate a safety obligation, or remove statutory rights concerning goods, services or personal information.
Responsibility for loss
To the extent permitted by law, Gridex is not responsible for indirect or consequential business losses, such as lost profits or business opportunities, arising solely from use of the public website or free informational tools. Responsibility and any agreed liability limits for robot deployments or paid services are governed by the applicable written agreement.
Nothing in these Terms excludes liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. Nothing prevents an individual from exercising privacy, consumer protection or other non-waivable statutory rights. Any applicable limitation will operate only to the extent the law permits.
Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, except to the extent mandatory law requires otherwise. Subject to any binding dispute process in a written agreement and any mandatory right to bring a claim elsewhere, disputes under these Terms may be brought in the courts of British Columbia sitting in Vancouver.
You may contact us first to try to resolve a concern, but doing so is not a condition of making a regulatory complaint or exercising a legal right. These Terms do not impose mandatory arbitration or a waiver of rights to participate in collective proceedings.
Changes and general provisions
We will post an effective date with any revision. Material changes will receive an appropriate notice, and we will seek renewed acceptance where required. Changes apply prospectively and do not alter a signed agreement without the amendment process required by that agreement.
If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision once is not a waiver of it. These Terms and any expressly incorporated terms govern only their stated subject matter. They do not create a partnership, employment relationship or agency between you and Gridex.
